Leading local and national corporate governance experts will speak on the growing challenges of board liability and oversight during a University of Colorado at Boulder Leeds School of Business seminar in September.

The 2005 Corporate Governance Seminar is being offered by the Leeds School's executive development program and will be held Sept. 22-23 at the Denver Country Club.

Board members, CEOs, CFOs and corporate secretaries of public companies and mid- to large-size private corporations will hear about and apply the latest research and regulatory requirements in corporate governance. Distinguished speakers at the seminar include representatives of the Securities Exchange Commission and the American Enterprise Institute.

"The vastly increased emphasis on good corporate governance and a rapidly evolving regulatory environment make it critical for corporate board members and executives to stay abreast of knowledge in this area," said Sanjai Bhagat, a finance professor at the Leeds School of Business and lead faculty member for the Corporate Governance Seminar.

An expert in corporate governance, Bhagat brings both regulatory and academic insights to the seminar. Prior to joining the faculty at the Leeds School he worked at the U.S. Securities and Exchange Commission, Princeton University and the University of Chicago. His work has been published extensively in leading finance and law journals.

Other speakers at the seminar include:

o Cindy R. Alexander, assistant chief economist with the U.S. Security and Exchange Commission. A former senior economist at the Council of Economic Advisers, Alexander also served as an economics expert for more than a decade at the U.S. Department of Justice's antitrust division. She has written numerous articles about corporate governance and the causes and consequences of corporate misconduct.

o Peter J. Wallison, resident fellow at the American Enterprise Institute. A former general counsel of the U.S. Treasury Department, Wallison also was White House counsel to President Reagan. His book "Ronald Reagan: The Power of Conviction and the Success of His Presidency" provides an inside view of the functioning of the Reagan White House.

o Tony Galban, vice president and global underwriting manager for Chubb Specialty Insurance. Galban is responsible for the directors and officers liability business for Chubb Specialty Insurance. Previously, he worked at Aetna Life and Casualty as both a casualty underwriter and as a senior product specialist for general liability coverage.

o Mark Levy, partner with the law firm Holland and Hart. Levy has worked on initial public offerings as well as offerings by medium- and large-size public businesses. He has advised boards of directors about fiduciary duties and the steps needed to comply with these duties.

o Dave Heller, chief ethics and compliance officer and vice president of ethics, compliance and risk management at Qwest. Heller is responsible for ethics, corporate and regulatory compliance, security, disaster preparedness, claims, environmental affairs, safety and industrial hygiene, and risk finance and insurance. Heller has worked in the ethics, compliance and risk management fields since 1981 and is a member of the Ethics Officers Association and the Colorado and District of Columbia bar associations.
